The Opportunity

This is an exciting opportunity for a European Contracts Attorney to join our team.  The primary responsibility of this position will be to support the Director of Contracts with reviewing and management of commercial contracts with prospective customers in Europe and India.  This position will report to the Director of Contracts, and will be a key member of the G&A team.  The successful candidate will have a strong understanding of SaaS contracts, good business judgement, and the ability to partner with the key stakeholders in the organization to get deals closed in a timely manner.

Responsibilities:

  • Supporting the Director of Contracts with drafting and reviewing of commercial contracts with external parties in Europe and India.
  • Supporting the Director of Contracts with reviewing vendor agreements and non-disclosure agreements.
  • Help to manage the contracting process by working with the key stakeholders globally. Identify business and legal risks, facilitate the approvals from various groups within the Company including the Professional Services organization, Data Security, and Compliance.  
  • In conjunction with the sales team, establish positive and collaborative relationships with customers throughout the contracting process.
  • Ensure internal compliance with all of the requirements of the TraceLink’s contracting process.
  • Ensure compliance with the EU data privacy laws. Assist the company with compliance with the Foreign Corrupt Practices Act and Privacy Shield.

Professional Qualifications:

  • Law degree required
  • Experience negotiating and managing software licensing agreements, SaaS agreements, non-disclosure agreements and professional services agreements
  • Ability to manage and prioritize multiple and varied tasks with enthusiasm and attention to detail
  • Proactive collaborative approach to drafting complex contract terms and conditions, in a fast-paced environment
